Terms & Conditions

Welcome to NxtGenAi. These Terms & Conditions (“Terms”) govern your use of our website, services, and engagement with us. By signing our service agreement, making payments, or using our services, you agree to comply with these Terms.

1. Services Offered

• NxtGenAi provides digital marketing, branding, web development, social media management, advertising, and automation services.

• We deliver only the services explicitly mentioned in the signed agreement and Service Order Form (SOF).

• Any additional work beyond the scope requires a new written agreement or addendum.

2. Payments & Pricing

• Clients must pay in accordance with the payment structure agreed in the Service Agreement or SOF:

  • One-time services: 50% advance, 50% upon completion.

  • Monthly services: 100% advance.

  • Quarterly/Annual plans: 50% advance, balance in equal monthly installments.

• Late payments may attract 2% monthly interest.

• NxtGenAi reserves the right to pause or suspend services until payments are cleared.

3. Cancellation & Refunds

• Clients may cancel services within 1–3 days of signing the agreement by written request.

• After this period, no cancellations or refunds will be allowed under any circumstances.

• Third-party expenses (e.g., domain, hosting, ad budgets) are strictly non-refundable.

4. Client Responsibilities

• Provide accurate and complete information, content, and approvals on time.

• Ensure all brand guidelines and requirements are communicated clearly.

• Provide access to necessary accounts (social media, hosting, CRM, etc.) for service delivery.

• Delays caused by the client may extend timelines without penalty to NxtGenAi.

5. Deliverables & Timelines

• Timelines are communicated in the SOF. Typical delivery times include:

  • Branding: 7–14 business days

  • Static Website: 15–21 business days (from content approval)

  • E-commerce Website: 21–45 business days (based on complexity)

  • Automation Setup: 10–15 business days

• NxtGenAi will make reasonable efforts to meet deadlines but is not liable for delays caused by external dependencies (third-party platforms, client delays, force majeure).

6. Intellectual Property

• All creative deliverables (logos, designs, content) created specifically for the client become their property upon full payment.

• NxtGenAi retains ownership of its processes, methodologies, and frameworks.

• Third-party assets (stock images, plugins, licensed tools) remain the property of their respective owners.

7. Confidentiality & Data Protection

• Both parties agree to maintain strict confidentiality of sensitive information.

• NxtGenAi implements reasonable security measures to safeguard client data.

• Compliance with the Information Technology Act, 2000 and the Digital Personal Data Protection Act, 2023 is maintained.

• Data is stored for the duration of the project + 2 years, after which it may be deleted upon client’s written request.

8. Limitation of Liability

• NxtGenAi’s liability is limited to the amount paid by the client for services.

• We are not liable for indirect, incidental, or consequential damages, including loss of sales, leads, or reputation.

• Results from advertising, social media, or campaigns are estimates only and not guaranteed.

9. Termination

• NxtGenAi may terminate services if the client:

  • Fails to make payments beyond 45 days,

  • Breaches terms of this agreement,

  • Fails to provide necessary cooperation.

• Clients retain ownership of completed deliverables upon full payment.

• NxtGenAi may provide transition assistance for up to 15 days post-termination.

10. Governing Law & Disputes

• These Terms are governed by the laws of India.

• Jurisdiction lies exclusively with the courts of Patna, Bihar.

• Disputes will be resolved through:

  1. Good faith negotiation (30 days)

  2. Mediation (30 days)

  3. Arbitration under the Arbitration and Conciliation Act, 1996 in Patna, Bihar

11. General Terms

• These Terms constitute the entire agreement between client and NxtGenAi.

• Any modifications must be made in writing and signed by both parties.

• If any clause is held invalid, the remaining Terms remain in effect.

• Rights and obligations cannot be transferred without prior written consent.
